Terms of Service

1. Acceptance of Terms

By accessing or using the Cordiqa platform ("Service"), operated by YDevOps, an Israeli Sole Proprietorship (Licensed Dealer) ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Definitions

  • "Service" means the Cordiqa cloud-based platform, including all features, APIs, and integrations.
  • "Supplier" means a business or individual that uses the Service to manage tickets, files, and communications with their customers.
  • "Client" means an end-customer of a Supplier who accesses the Service to view tickets, upload files, or communicate with their Supplier.
  • "Account" means your registered user account on the Service.
  • "Content" means any data, files, messages, tickets, or other materials uploaded to or created through the Service.
  • "Subscription Plan" means the free or paid tier under which you access the Service, as described on our pricing page.

3. Description of Service

Cordiqa provides a cloud-based client portal that enables Suppliers to manage tickets, share files, and communicate with their Clients through a secure portal. The Service integrates with third-party CRM platforms such as HubSpot to sync data bi-directionally. Cordiqa provides the technical infrastructure only; Suppliers are solely responsible for their relationship with their Clients.

4. User Accounts

You must be at least 18 years of age to create an Account. You must provide accurate and complete information when creating an Account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your Account, including activity by team members you invite. You must notify us immediately of any unauthorized use of your Account.

5. Plans and Billing

The Service offers free and paid Subscription Plans. Payment for paid plans is processed by Stripe, Inc., a third-party payment processor. By subscribing to a paid plan, you also agree to Stripe's terms of service.

Free trial. Paid plans may include a free trial period. At the end of the trial, your Account will be automatically downgraded to the Free plan unless you subscribe. No charge is made during the trial.

Auto-renewal. Paid subscriptions renew automatically at the end of each billing cycle (monthly or annual) at the then-current rate. You may cancel your subscription at any time before the next renewal date through your Account settings. Cancellation takes effect at the end of the current billing period.

Refund policy. In accordance with the Israeli Consumer Protection (Distance Selling) Regulations, you may cancel a paid subscription within 14 days of purchase and receive a full refund, minus any proportional usage fees for the period used. After 14 days, monthly plans are not refunded for partial periods. Annual plans cancelled after 14 days may be refunded on a pro-rata basis at our discretion.

Price changes. We reserve the right to change pricing. We will notify you at least 30 days in advance of any price increase via email. The new pricing will apply at your next renewal date. If you do not agree with the new pricing, you may cancel before the renewal date.

Taxes. All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for any taxes, duties, or levies imposed by your jurisdiction.

Plan limits (such as active portal users and team member seats) are enforced based on your current Subscription Plan.

6. User Responsibilities

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Upload malicious content, viruses, or harmful code.
  • Attempt to gain unauthorized access to any part of the Service, other users' accounts, or our infrastructure.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Share your account credentials with third parties.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Scrape, crawl, or use automated means to access or extract data from the Service beyond what is provided through our intended interfaces.
  • Resell, sublicense, or redistribute the Service or any part thereof without our prior written consent.
  • Use the Service to send unsolicited communications, spam, or bulk messages.
  • Exceed reasonable usage limits or engage in activity that degrades the Service for other users.

Violation of these terms may result in a warning, temporary suspension, or permanent termination of your Account, at our sole discretion.

7. Supplier Responsibilities

If you use the Service as a Supplier, you additionally agree to:

  • Ensure that you have a lawful basis (such as consent or legitimate interest) for importing and processing your Clients' personal data through the Service.
  • Maintain the accuracy and completeness of Client data you import from HubSpot or enter manually.
  • Comply with your own privacy obligations to your Clients, including informing them that their data is processed through Cordiqa.
  • Obtain any necessary consent from your Clients for the processing of their data through the Service, including bi-directional sync with HubSpot.
  • Respond to data subject requests from your Clients regarding data you control, in accordance with applicable data protection law.

As between you and YDevOps, you are the data controller for your Clients' data, and YDevOps acts as the data processor. The relationship is governed by our Data Processing Agreement.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by YDevOps (operating as Cordiqa) and are protected by international copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

Your Content remains yours — we do not claim ownership over data you upload to the Service. By uploading Content, you grant us a limited license to store, process, and display it solely as necessary to provide the Service.

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use such feedback to improve the Service.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy and, where applicable, our Data Processing Agreement. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

10. Third-Party Integrations

The Service integrates with third-party services such as HubSpot (CRM), Clerk (authentication), Resend (email delivery), Vercel (hosting), and Stripe (payment processing). Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability, accuracy, or practices of third-party services.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to notify users of planned downtime.

12. Disclaimer of Warranties and Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. YDevOps does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

To the fullest extent permitted by applicable law, YDevOps shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service. Our total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim, or one hundred US dollars (US$100), whichever is greater.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including the laws of the State of Israel.

13. Indemnification

You agree to indemnify, defend, and hold harmless YDevOps, its owner, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from or related to: (a) your use of the Service; (b) any Content you upload, transmit, or make available through the Service; (c) your violation of these Terms; (d) your violation of any rights of a third party, including intellectual property or privacy rights; (e) as a Supplier, any misuse of your Clients' data or failure to obtain proper consent.

14. Termination

By you. You may delete your Account at any time through your Account settings. Upon deletion, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination by contacting us.

By us for cause. If you materially breach these Terms, we will provide written notice specifying the breach. You will have fourteen (14) days to cure the breach. If the breach is not cured within this period, we may terminate your Account. Egregious violations (including but not limited to illegal activity, security breaches, or deliberate harm to the Service) may result in immediate termination without a cure period.

By us for convenience. We may terminate your Account for any reason with thirty (30) days prior written notice via email.

HubSpot disconnection. If you disconnect your HubSpot integration, a 14-day grace period begins during which your Account enters read-only mode. You may reconnect during this period to restore full access. After the grace period, associated data will be permanently deleted.

Effect of termination. Upon termination, your access to the Service ceases. Your data will be deleted after the 30-day export window, except where retention is required by applicable law.

Survival. Sections relating to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution shall survive termination of these Terms.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes at least 30 days in advance via email or through the Service. Continued use of the Service after the effective date of the changes constitutes acceptance of the new Terms. If you do not agree with the updated Terms, you may terminate your Account before the changes take effect.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days from the date of written notice of the dispute.

If the dispute cannot be resolved through negotiation, it shall be subject to the exclusive jurisdiction of the competent courts of the Tel Aviv District, Israel.

17. Force Majeure

YDevOps shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications infrastructure failures, cyberattacks, or third-party service outages.
